KELLY J. FOX, MANAGING PARTNER
Kelly J. Fox has over 21 years of legal experience, counseling clients on all aspects of corporate, tax, commercial finance, and real estate law. Mr. Fox represents clients engaged in a wide sector of business and industry, including technology, real estate, environmental and professional service companies. A significant aspect of Mr. Fox’s practice involves representation in commercial financing matters, including retail, multi-family residential, construction/development, mezzanine and acquisition loans. Since 2010, Mr. Fox has represented various borrowers and lenders in dozens of commercial lending transactions involving approximately $1 Billion of commercial financing.
From 1995 to 2003, Mr. Fox was a member of the Porter Wright Morris & Arthur, LLP law firm in Columbus, Ohio, practicing in the business and tax groups. Mr. Fox focused his practice on corporate transactions with a concentration on federal tax planning. He served as lead negotiator for numerous asset and stock acquisitions, mergers (taxable and tax-free), and similar transactions for both publicly-traded and privately-held entities. He also advised clients with respect to executive and incentive compensation planning.
In 2004, Mr. Fox became General Counsel for Arshot Investment Corporation, a full-service real estate investment company located in Columbus, Ohio. Mr. Fox provided legal counsel to Arshot and its three operating divisions in property management, construction and real estate holding. He managed the corporate governance of 50+ companies within the Arshot ownership group, focusing on leasing, financing, construction and general corporate matters.
In 2007, Mr. Fox became General Counsel to Into Great Companies, Inc., a private venture capital company located in Columbus, Ohio. Mr. Fox provided legal guidance with respect to business transactions and contracts, mergers and acquisitions, joint ventures, private equity/venture capital transactions, and technology development and licensing. He also oversaw labor and employment matters, company policy and compliance, and managed all outside counsel relationships. Mr. Fox was also a member of the executive team, a role in which he actively participated in analyzing growth and acquisition opportunities and setting corporate policy to achieve targeted goals.
In addition to his large firm and in-house legal experiences, Mr. Fox has been and remains personally involved in many start-up ventures. This first-hand experience enables Mr. Fox to directly relate to and address the needs and concerns faced by new and existing business owners and rapid-growth companies. Mr. Fox understands the business process and details involved in the entrepreneurial journey and he is well-versed in counseling on the accompanying legal issues.
